Terms of Service

1. About these Terms
These Terms of Service (“Terms”) govern access to the website operated by Neves ApS (“NEVES”, “we”, “us” or “our”) and set default conditions for NEVES services where a separate written agreement does not address a matter. By using the website, you agree to the website-use provisions. A binding service engagement begins only when NEVES and the client accept a proposal, quotation, statement of work, order or other service agreement (“Service Agreement”).
If a Service Agreement conflicts with these Terms, the Service Agreement prevails for that engagement. Nothing in these Terms limits rights that cannot lawfully be excluded.
2. Business identity and contact
Neves ApS • CVR no. 46234588 • Kongebrogade 75, 6000 Kolding, Denmark • Email: contact@neves.dk. General enquiries may also be sent to neves@neves.dk, provided that this address is confirmed as active before publication.
3. Business users and consumers
Our services are designed primarily for businesses and professional users. If NEVES expressly contracts with a consumer, mandatory consumer-protection, cancellation, information and jurisdiction rules apply and prevail over any conflicting provision in these Terms. No wording in these Terms removes a mandatory statutory right.
4. Services and scope
NEVES provides hospitality-focused digital services, which may include website design and development, digital strategy, AI and workflow automation, SEO, branding and content support, guest-experience optimisation, direct-booking support, consulting, maintenance and related advisory services. The agreed scope, deliverables, assumptions, dependencies, timetable, price, acceptance process and support period are stated in the Service Agreement.
Any estimate, roadmap, demonstration, prototype or proposal is illustrative until included in an accepted Service Agreement. Changes to scope, priorities, third-party costs or client dependencies may require a written change order, revised fee or revised timetable.
5. Client responsibilities
Provide complete, accurate and timely information, access, decisions and approvals.
Secure all necessary rights and permissions for content, data, systems, logos, images, trademarks and other materials supplied to NEVES.
Review deliverables, including generated materials, for factual accuracy, legality, brand suitability, accessibility and operational safety before publication or implementation.
Avoid supplying special-category, highly confidential or unnecessary personal data unless NEVES has expressly agreed appropriate safeguards.
Maintain appropriate backups and security for client-controlled systems unless the Service Agreement assigns that responsibility to NEVES.
Use deliverables and integrations lawfully and in accordance with applicable third-party terms.
Client delay, missing access or late approval may reasonably extend milestones and may result in additional charges where stated in the Service Agreement.
6. Artificial intelligence and generated materials
NEVES uses generative artificial intelligence, automation and other digital tools in its website, demonstrations and service delivery. Unless expressly stated otherwise, all text, imagery, graphics, layouts, concepts, examples, mock-ups, demo websites, case scenarios, journal materials and other materials displayed on the NEVES website have been generated or materially assisted by generative AI and then selected, edited or reviewed by NEVES.
Generated materials may contain inaccuracies, omissions, fictional elements, technical defects, bias or similarities to other materials. Portfolio demos and example scenarios are illustrative and must not be understood as evidence of work performed for a named client, an actual client relationship, a guaranteed result or an endorsement by any depicted person or business.
Human review reduces but does not eliminate these risks. Website materials are general information only and are not legal, financial, tax, employment, cybersecurity or other regulated professional advice. Users and clients must independently verify information and obtain appropriate specialist advice before relying on generated materials for material decisions.
For client projects, the Service Agreement should identify permitted AI uses, restricted data, required human review, approval responsibilities and any provenance or disclosure requirements. NEVES will not knowingly submit confidential client information or personal data to a public AI model for model training without express written permission and an appropriate lawful basis, contract and transfer assessment.
AI generation or assistance does not place materials in the public domain. Rights in outputs may be limited or uncertain under applicable law and relevant provider terms. NEVES transfers or licenses only those rights it lawfully holds and expressly agrees to transfer or license.
7. Fees, taxes and payment
Fees, deposits, milestones, recurring charges, expenses, third-party costs and payment terms are stated in the Service Agreement. Unless stated otherwise, prices exclude VAT and other applicable taxes. Invoices are payable by the stated due date. NEVES may suspend affected services after reasonable notice if an undisputed invoice remains overdue. Work outside scope requires client approval and may be charged separately.
8. Acceptance and changes
The Service Agreement may define testing and acceptance criteria. If none are defined, the client must notify NEVES of material non-conformity within a reasonable review period stated in the proposal or, if unstated, within 10 business days after delivery. NEVES will use reasonable efforts to correct verified non-conformity with the agreed scope. New preferences, additional functionality and third-party changes are scope changes rather than defects.
9. Intellectual property
Each party retains ownership of materials, data, methods, technology and intellectual property owned or developed independently of the engagement (“Background Materials”). The client grants NEVES a limited licence to use client materials only as needed to provide the services.
Unless the Service Agreement states otherwise, and subject to full payment, the client receives ownership of bespoke final deliverables that NEVES specifically agrees to assign, excluding NEVES Background Materials, third-party materials, open-source components, general skills, know-how, methods, templates, prompts, libraries, frameworks, tools and reusable components. Where NEVES Background Materials are embedded in a deliverable, NEVES grants the client a non-exclusive, worldwide licence to use them as part of that deliverable for the client’s business purposes.
Third-party materials remain subject to their own licences. The client is responsible for recurring licence, hosting, platform, font, stock, domain and software fees unless the Service Agreement says otherwise.
10. Confidentiality and portfolio use
Each party must protect the other party’s non-public business, technical, financial, operational and personal information, use it only for the engagement and disclose it only to personnel and providers who need it and are bound by suitable obligations. These duties do not apply to information that is public without breach, already lawfully known, independently developed or lawfully received from another source.
NEVES will not use a client’s name, logo, testimonial, internal data, project details, deliverables or relationship in a portfolio, case study, award entry, marketing communication or public AI dataset without the client’s prior express written consent. Consent may be limited or withdrawn for future use, subject to materials already lawfully published or committed.
11. Data protection
Each party will comply with applicable data-protection law. Where NEVES processes personal data on behalf of a client, the parties will enter into an Article 28 GDPR data processing agreement where required. The client remains responsible for its instructions, lawful basis, notices and data-subject responses unless otherwise agreed. NEVES may refuse instructions that it reasonably believes are unlawful or insecure.
12. Third-party services
Deliverables may depend on third-party platforms, hosting, AI systems, APIs, analytics, booking engines, payment services, domains or software. Third-party terms, availability, security, pricing, functionality and policy changes are outside NEVES’s control. NEVES will use reasonable care in selection and integration but does not warrant uninterrupted third-party service. Client approval may be required before paid or material third-party services are activated.
13. Warranties and professional standard
NEVES will perform agreed services with reasonable professional skill and care and will materially follow the Service Agreement. Except for this express commitment and warranties that cannot be excluded by law, the website, demonstrations and services are provided without warranties of uninterrupted availability, error-free operation, merchantability, fitness for a particular commercial purpose or compatibility with future third-party changes.
14. No guaranteed outcomes
Search rankings, bookings, conversion, revenue, cost savings, guest satisfaction, AI outputs and business performance depend on factors outside NEVES’s control. NEVES does not guarantee a particular commercial outcome, ranking, traffic level, automation result or return on investment. Forecasts and recommendations are estimates, not promises.
15. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect or consequential loss, loss of profit, revenue, goodwill, anticipated savings, opportunity or data, except where such exclusion is prohibited. NEVES’s total aggregate liability arising from a Service Agreement will not exceed the fees paid or payable under that Service Agreement during the twelve months preceding the event giving rise to liability, or the total project fee for a fixed project, whichever is applicable.
The limitations do not apply to liability that cannot legally be limited, including liability for fraud or wilful misconduct, or to any other category expressly excluded from limitation by applicable law. Client payment obligations and infringement or misuse of the other party’s intellectual property are not limited by this section to the extent permitted by law.
COUNSEL REVIEW The liability cap and exclusions should be checked against NEVES’s insurance, typical project values and contracting practice before publication.
16. Security and backups
NEVES applies reasonable technical and organisational measures appropriate to the agreed services. No online system is completely secure. Each party must promptly notify the other of a suspected security incident affecting the engagement and cooperate with legally required investigation, mitigation and notification. Responsibility for backup, recovery, credentials and access management follows the Service Agreement and the systems each party controls.
17. Suspension and termination
Termination rights are stated in the Service Agreement. Unless otherwise stated, either party may terminate for a material breach not remedied within a reasonable written cure period, or immediately where cure is impossible, continued performance would be unlawful, or the other party becomes insolvent. NEVES may suspend services where reasonably necessary for security, legal compliance, non-payment or protection of systems, after notice where practicable.
On termination, accrued fees and approved third-party commitments remain payable. Each party will return or delete confidential information where required, subject to legal retention and backup limitations. Provisions intended by nature to survive—including payment, confidentiality, intellectual property, liability, data protection and dispute terms—continue.
18. Force majeure
Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disaster, war, epidemic, government action, labour disruption, cyberattack, major internet or utility outage, or widespread third-party platform failure. The affected party must give reasonable notice and use reasonable efforts to mitigate. Payment obligations for services already delivered are not excused.
19. Website use
Users must not interfere with the website, attempt unauthorised access, introduce malicious code, scrape at a disruptive scale, misrepresent generated demonstrations as genuine client work, remove notices, or use the site or its materials unlawfully. NEVES may restrict access where reasonably necessary to protect the website, users or legal rights.
20. External links
The website may link to third-party sites. Links are provided for convenience and do not imply endorsement. NEVES is not responsible for third-party content, availability, security or privacy practices.
21. Changes
NEVES may update these website Terms prospectively to reflect legal, operational or service changes. The current version and update date will be published on the website. Changes do not retroactively alter an accepted Service Agreement unless the parties agree or law requires it. Continued use of the website after publication means acceptance of the updated website-use provisions, not automatic amendment of an existing Service Agreement.
22. Governing law and disputes
These Terms and Service Agreements are governed by Danish law, excluding conflict-of-law rules. The parties will first attempt in good faith to resolve a dispute through management discussion. Subject to mandatory law, disputes are brought before the competent Danish courts, with the Court of Kolding as the agreed first-instance venue where legally permitted. Mandatory consumer venue rights remain unaffected.
23. General
If a provision is invalid or unenforceable, it will be limited to the minimum extent necessary and the remainder continues. Failure to enforce a provision is not a waiver. Neither party may assign a Service Agreement without the other’s consent, not to be unreasonably withheld, except to an affiliate or successor in connection with a bona fide reorganisation or sale, subject to continued performance and applicable law. The Service Agreement and these Terms constitute the agreement on their subject matter and replace prior statements to that extent.
